Roll-Up Vehicle (RUV)

A Roll-Up Vehicle (RUV) is an investment structure used to pool multiple individual investors into a single legal entity, often a special purpose vehicle (SPV), for the purpose of making a collective investment in a target company.

RUVs streamline cap tables by consolidating numerous small investors into one entity, simplifying governance and decision-making for the investee company. They’re especially popular in angel investing, syndicates, crowdfunding campaigns, and venture capital funds targeting early-stage startups.

Key features of RUVs include:

  • Consolidated reporting to the startup.

  • Centralized management of voting rights and investor communications.

  • Simplified investment and exit processes.

RUVs reduce administrative overhead while giving individual investors access to exclusive, often illiquid, early-stage opportunities.
